Technautics PTY LTD Terms and Conditions of Sale

By placing an order for Products and/or Services, the Customer acknowledges that they have read, understood, and agreed to be bound by these terms and conditions of sale.

1. Acceptance of Terms

1.1 These terms and conditions (“Agreement”) govern the sale of products (“Products”) and services (“Services”) by TechNautics Pty Ltd (“Supplier”) to the purchaser (“Customer”). By placing an order or accepting delivery of Products, the Customer acknowledges and agrees to be bound by these terms and conditions.

2. Quotations

2.1 Upon request, the Supplier may provide the Customer with a quotation outlining the price and availability of Products and/or Services. All quotations are valid for a period of 30 days from the date of issue.
2.2 The Supplier is not obliged to commence work until the quotation has been accepted by
the Customer.
2.3 The Supplier is entitled to amend quotations prior to the issue of the invoice, to account for any additional charges (see section 5). The Supplier will notify the Customer of any quotation amendments, at the earliest opportunity.

3. Orders and Pricing

3.1 All orders are subject to acceptance by the Supplier. Prices, quantities, and availability of Products and Services are subject to change without notice.
3.2 The Customer agrees to pay the agreed purchase price for the Products and Services as specified in the invoice provided by the Supplier.
3.3 All orders will be submitted in writing by the Customer via purchase order, unless otherwise agreed.

4. Payment

4.1 Payment terms are as specified in the invoice. Unless otherwise agreed in writing, payment is due in full 30 days after delivery or shipment of the Products and Services.
4.2 Payment due dates will be specified in the invoice.

5. Additional Charges

5.1 The Supplier may require the Customer to pay additional charges arising from any extra costs incurred by the Supplier to provide the ordered Products and Services.
5.2 Additional charges include unforeseen delivery, material, and labour costs.
5.3 The Supplier will notify the Customer of any additional charges in writing, or by updated quotation, unless otherwise agreed.

6. Delivery and Title

6.1 Delivery dates are estimates and are subject to change. The Supplier shall not be liable for any delays in delivery arising from causes beyond its control.
6.2 Risk of loss and title to the Products and Services shall pass to the Customer upon delivery to the carrier or, in the case of pickup, upon the Products and Services being made available to the Customer.

7. Product Inspection and Acceptance

7.1 The Customer shall inspect the Products and Services upon delivery or pickup. Any claims for incorrect, damaged, or missing Products and Services must be made within 30 days of receiving the order.
7.2 Unless a claim is made in accordance with Section 5.1, the Customer is deemed to have accepted the condition of the Products and Services.

8. Returns and Exchanges

8.1 Returns or exchanges of Products and Services are subject to the Supplier’s warranty and return policy, as communicated to the Customer at the time of purchase.
8.2 The Supplier reserves the right to charge restocking fees for returned Products, as specified in the warranty, and returns policy.

9. Warranty and Limitation of Liability

9.1 The Supplier warrants that the Products shall be free from defects in materials and workmanship for a period of 12 months from the date of delivery.
9.2 The Supplier’s liability under this warranty is limited to repairing or replacing defective Products at its discretion.
9.3 The Supplier shall not be liable for any indirect, consequential, or incidental damages arising out of the use or inability to use the Products.
9.4 The Customer’s exclusive remedy for any breach of warranty or other claim shall be limited to the repair or replacement of the Products or a refund of the purchase price.

10. Governing Law and Jurisdiction

10.1 This Agreement shall be governed by and construed in accordance with Australian Law.

11. Entire Agreement

11.1 This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous agreements, representations, and understandings, whether oral or written.
